Fletcher Challenge Energy Ltd. v. Electricity Corp. of New Zealand Ltd.

 

Electricity Corporation of New Zealand (ECNZ) sought to guarantee its supply of natural gas by signing a "Heads of Agreement" with Fletcher Challenge Energy Ltd. After subsequent negotiations failed to produce a formal, detailed agreement, Fletcher Challenge asked the High Court of New Zealand for a declaratory judgment that the Heads of Agreement was a valid contract. AEP prepared written rebuttal testimony that criticized the testimony of ECNZ's experts and argued that the Heads of Agreement was sufficiently complete and unambiguous to be a legally enforceable contract.
